AmenityLab.com. can change these Terms at any time, without notice, and your continued use of the Services after any change we make will mean that you agreed with the changes. IN THE EVENT THAT YOU DO NOT AGREE TO ANY CHANGE, PLEASE DO NOT ACCESS OR USE THE SERVICES IN ANY MANNER FOR ANY PURPOSE.

Subscription and Registration

If you become a Subscriber of AmenityLab.com, you accept responsibility for all activities that occur under your account or password, and agree not to sell, transfer or aframegn your subscription or any subscription rights. You are responsible for maintaining the confidentiality of your password and for restricting access to your computer so others may not access AmenityLab.com or any of its associated network websites using your name in whole or in part. AmenityLab Inc. reserves the right to terminate your subscription and deny access to the site to any person who violates these Terms of Use Policies. By completing the Profile registration form and by entering your email address and password, you will be deemed to have accepted these terms and conditions. Also, by subscribing to any of the Site"s online services (including but not limited to: email, surveys,), you are deemed to have accepted these terms and conditions. During the Profile registration process, you agree to give us true, accurate and complete information about yourself, and to update this information when it changes. If you do not update it, ISH may suspend or terminate your use of the Site or any of its associated network websites. Any personal information that you provide to us is subject to the terms of our Privacy Policy. When you register, you will choose a password so that you can access your account with us. You agree that you will keep this information confidential. You are completely responsible for activities that happen under your account and password. If you think there has been unauthorised use of your account or password, you agree immediately to notify AmenityLab.com and co-operate with us to resolve it. You understand that if you do not follow the terms of this paragraph, we may suspend or terminate your use of this Site and or associated network websites. You will not do anything that would aframest anyone who is not a registered user to gain access to any registration required area of the Site. You do not maliciously create additional registration accounts for the purpose of abusing the functionality of the Site, or other users; nor do you seek to pass yourself off as another user.

Information Posted by You

Where you are invited to submit any contribution to the Site (including, but not limited to, any text, software code, photographs, graphics, video or audio) you agree, by submitting your contribution, to grant the Site a perpetual, royalty-free, non-exclusive, sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, play, and exercise all copyright and publicity rights with respect to your contribution worldwide and/or to incorporate your contribution in other works in any media now known or later developed for the full term of any rights that may exist in your contribution, and in accordance with privacy restrictions set out in the Site"s Privacy Policy. If you do not want to grant to the Site the rights set out above, please do not submit your contribution to Site. Further to the above paragraph, by submitting your contribution to the Site, you warrant that your contribution:

1. Is your own original work and that you have the right to make it available to the Site for all the purposes specified above; and
2. Is not defamatory; and
3. Does not infringe any law; and
4. Indemnify the Site against all legal fees, damages and other expenses that may be incurred by the Site as a result of your breach of the above warranty; and
5. Waive any moral rights in your contribution for the purposes of its submiframeon to and publication on the Site and the purposes specified above.

Please note: the contributor or the owner of the photograph(s) still owns the copyright in the photograph(s) sent to the Site and are free to republish the photograph(s) wherever the contributor or the owner wish and in whatever medium the contributor or the owner want.

Message Boards, Blogs, BBS, Chat Room, Registration

By providing information to, communicating with, and / or placing content on, AmenityLab.com, including for example communication during registration, communication on any AmenityLab.com BBS, message or chat area, posting any resume or other content, completing surveys, etc., you represent and warrant:

1. You own or otherwise have all necessary rights to the content you provide and the rights to use it as provided in this Terms of Service Policies;
2. All information you provide is true, accurate, current and complete, and does not violate these Terms of Service Policies; and,
3. The content will not cause injury to any person or entity. Using a name other than your own legal name is prohibited (except in those specific areas of AmenityLab.com that specifically ask for unique, fictitious names, e.g., certain message boards and chat rooms).

For all such information and material, you grant AmenityLab Inc., its affiliates and related entities, including AmenityLab.com a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, copy, modify, display, archive, store, distribute, reproduce and create derivative works from such information, in any form, media, software or technology of any kind now existing or developed in the future. Without limiting the generality of the previous sentence, you authorize AmenityLab Inc. to share the information across all AmenityLab Inc. affiliated Web sites, to include the information in a searchable format acceframeble by users of AmenityLab.com and other ISH Web sites, and to use your name and any other information in connection with its use of the material you provide. You also grant AmenityLab Inc. the right to use any material, information, ideas, concepts, know-how or techniques contained in any communication you send to us for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products using such information. All rights in this paragraph are granted without the need for additional compensation of any sort to you.

Please note that AmenityLab Inc. does not accept unsolicited materials or ideas for use or publication, and is not responsible for the similarity of any of its content in any media to materials or ideas transmitted to AmenityLab Inc. Should you send any unsolicited materials or ideas, you do so with the understanding that no additional consideration of any sort will be provided to you, and that you are waiving any claim against chicagotribune.com and its affiliates regarding the use of such materials and ideas, even if material or an idea is used that is substantially similar to the idea you sent.

AmenityLab Inc. cannot and does not monitor all of the material posted or transmitted by users and third party information providers. To protect your safety, please use your best judgment when using these forums. We particularly discourage divulging personal phone numbers and addresses or other information that can be used to identify or locate you. If you make such disclosures either through postings on the bulletin boards, chat rooms and other interactive areas, or to third parties in any communication, you do so fully understanding the consequences of such disclosures and with a knowing consent that such information could be used to identify you. 11. Disrupts, interferes with, or otherwise harms or violates the security of iseehere.net, or any services, system resources, accounts, passwords, servers or networks connected to or acceframeble through iseehere.net or affiliated or linked sites.
12. "Spam" any individual or entity (e.g., sends repeated messages related to another user and/or makes derogatory or offensive comments about another individual), or repeats prior posting of the same message under multiple threads or subjects.

WARNING: A VIOLATION OF THE FOREGOING GUIDELINES MAY BE REFERRED TO LAW ENFORCEMENT AUTHORITIES.

Communications with Third Parties

Your dealings or communications through AmenityLab.com with any party other than AmenityLab.com are solely between you and that third party. For example, certain areas of AmenityLab.com may allow you to conduct transactions or purchase goods or services. In most cases, our third-party partners and vendors will conduct these transactions. Under no circumstances will AmenityLab Inc. be liable for any goods, services, resources or content available through such third party dealings or communications, or for any harm related thereto. Please review carefully that third party"s policies and practices and make sure you are comfortable with them before you engage in any transaction. Complaints, concerns or questions relating to materials provided by third parties should be forwarded directly to the third party.

Indemnity

You understand that you are personally responsible for your behaviour while on the AmenityLab.com and associated Sites, and agree to indemnify and hold AmenityLab Inc. and subsidiaries, affiliates, and their officers, directors, employees and agents harmless from and against any loss, damage, liability, cost or expense of any kind (including legal fees and costs) that we may incur in connection with a third party claim or otherwise, in relation to your use of the Services, access to the Iseehere.com and associated Sites, your violation of either these Terms or the rights of any third party, disclosure of membership passwords and any other matter in connection with your participation in the services on the site.

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else"s use and enjoyment of the Site. Prohibited behaviour includes haraframeng or causing distresses or inconvenience to any person, transmitting obscene or offensive content or disrupting the normal flow of dialogue within the Site.

AmenityLab Inc. can terminate your access to the Site or the Services at any time. AmenityLab Inc. may also remove any Member Content that you post without cause and without notice to you. This includes all materials related to your use of the Services or membership, including email accounts, postings, profiles or other personalized information you have created while on the Site.

Data protection

If you have indicated on the Site"s Profile registration form that you wish to receive direct marketing material, your personal details will be included in a database compiled for direct marketing purposes. At certain times you may receive direct marketing information from us or from carefully selected partners. If you have indicated that you wish to receive email updates from AmenityLab Inc., your personal details will be included on a database compiled for this specific purpose.

If you have indicated that you wish to receive direct marketing material or email updates from AmenityLab Inc. but subsequently change your mind, you should log in to your AmenityLab.com user account and "unsubscribe" yourself from the relevant Mailing Lists. This will immediately remove you from any future mailings.

AmenityLab.com does not warrant that functions contained in the Site content will be uninterrupted or error free, that defects will be corrected, or that AmenityLab.com or the server(s) that makes it available are free of viruses or bugs.

Other Websites

AmenityLab.com website contains links to other websites. AmenityLab Inc. is not responsible for the privacy practices or the content of such websites.

If you operate a Web site and wish to link to AmenityLab.com, you may do so provided you agree to cease such link upon request from AmenityLab Inc. No other use is permitted without prior written permiframeon of AmenityLab Inc. The permitted use described in this Paragraph is contingent on your compliance at all times with all AmenityLab Inc. Terms of service Policies.

Severability

If any one or more provisions of this Agreement are determined to be invalid or illegal or unenforceable in any respect, the remaining provisions of this Agreement shall remain in effect and shall not be affected by such invalidity, illegality or unenforceability.

Governing Law

This Agreement shall be governed by and construed and enforced in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein without regard to its choice of law provisions and will be treated as an Ontario contract.

You hereby agree that any cause of action you may have with respect to AmenityLab.com must be filed in a provincial court located in Toronto, Ontario within two months of the time in which the events giving rise to such claim began, or you agree to waive such claim. If for any reason any provision of this Agreement is found unenforceable, that provision shall be enforced to the maximum extent permiframeble so as to affect the intent of the parties as reflected in that provision and the remainder of the Agreement shall continue in full force and effect. Any failure of AmenityLab.com to enforce or exercise any provision of this Agreement or related right shall not constitute a waiver of that right or provision. The section titles used in the Terms of Use Policies are purely for convenience and carry with them no legal or contractual effect. In the event of termination of this Agreement for any reason, you agree the following provisions will survive: the provisions regarding limitations on your use of Content, the license(s) you have granted to AmenityLab.com, and all other provisions for which survival is equitable or appropriate.
